These Terms and Conditions (“Terms”) govern your use of the FlatFeeAuctionWorld family of websites (collectively the “Platform”, “FFAW”, “we”, “us”, or “our”).  At this time, the family of websites includes FlatFeeCarAndTruckAuction.com, FlatFeeRVAuction.com, FlatFeeBoatAuction.com, FlatFeeMotorcycleAuction.com, FlatFeeMachineryAuction.com, FlatFeeHomesAndLandAuction.com, FlatFeeAviationAuction.com and FlatFeeHorseAuction.com.

By accessing the Platform, registering / creating an account, listing an auction item, placing a bid, or otherwise using the Platform, you agree to be bound by these Terms and all policies referenced herein, including our Privacy Policy.

FFAW operates an online marketplace platform that enables sellers to publish auction listings and allows registered users to place bids.

FFAW does not own, possess, inspect, broker, or sell any Auction Items listed on the Platform.

FFAW is not a party to the transaction between buyers and sellers. Any contract of sale is formed solely between the Seller and the Winning Bidder.

FFAW does not currently collect purchase funds from buyers or hold transaction funds in escrow.

If you do not agree to the Terms herein, you may not use the Platform.

  1. Marketplace Status

FFAW operates solely as an online marketplace platform that allows users to publish auction listings and place bids.

FFAW:

  • Does not own listed items
  • Does not act as a broker or dealer
  • Does not take possession of items
  • Does not complete transactions
  • Does not guarantee listing accuracy
  • Does not verify seller statements

FFAW is not a party to the transaction between buyer and seller.

All transactions occur directly between the Seller and the Winning Bidder.

Nothing in these Terms shall be construed to create any agency, partnership, joint venture, brokerage relationship, or fiduciary duty between FFAW and any user.

  1. Definitions

Auction Item
Any item listed for sale on the Platform.

Seller
A user who lists an Auction Item.

Bidder
A registered user who places bids.

Winning Bidder
The bidder who places the highest valid bid at auction close, subject to reserve price or any valid interruptions of the auction.

Preview Period
The first six (6) days of a 7-Day listing during which users may review the item, communicate with the Seller, and perform due diligence.

Live Auction Period
The 7th day, consisting of a 24-hour bidding window where binding bids may be placed.

Listing Fee
The upfront fee paid by the Seller to publish a listing.

Tier Fee
The fee determined by the final Winning Bid amount for a sold Auction Item.

Business Day
Monday through Friday excluding public holidays where FFAW is headquartered.

 

  1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding contract to use the Platform.

Users must provide accurate and complete registration information.

FFAW may require:

  • email verification
  • SMS verification
  • payment card verification
  • identity verification

Users are responsible for all activity occurring under their accounts.

Accounts may not be transferred without FFAW permission.

  1. Auction Format and Preview Period

Each 7-Day listing typically consists of two phases:

Preview Period (Days 1–6)

During this time:

  • Bidders may conduct due diligence and/or inspect items
  • Questions may be asked of Seller
  • Sellers may communicate / negotiate with potential Buyers / Bidders
  • Sellers may accept offers outside the FFAW platform if they choose

No binding bids occur during the Preview Period.

Live Auction Period (Day 7)

On the 7th day, a 24-hour Live Auction Period begins.

During this time:

  • Bids may be placed
  • Bids represent binding offers
  • The highest bid wins if the reserve price is met

However, once the Live Auction Period begins, the Seller agrees that:

  • Seller will NOT WITHDRAW the listing except with FFAW approval
  • The Auction Item will remain available for auction
  • If the reserve price is met, the Seller will complete the sale with the Winning Bidder

Unless otherwise stated, the Live Auction Period lasts 24 hours.

  1. Anti-Sniping Auction Extension

To maintain fair bidding and prevent last-second sniping:

If a bid is placed within the final two (2) minutes of the Live Auction Period, the auction timer will automatically reset to two (2) minutes remaining.

This extension will continue until no new bids are placed during the final two minutes.

  1. Bidder Verification Fee and $500 Authorization Hold

Before placing bids, users must register a valid payment card. 

When a Bidder places their first bid, FFAW will place a $500 authorization hold on the Bidder’s credit card. (This HOLD is in addition to the $2 CC verification charge every registered user pays when signing up).

This hold is used to:

  • Verify bidder identity
  • Discourage fraudulent bidding
  • Secure potential default penalties

If the bidder does not win the auction, the hold will typically be released within several business days depending on the card issuer.

If the bidder defaults on a winning bid, FFAW may charge the bidder’s card according to Section 11 (Default Penalties).

  1. Bidding Rules

All bids represent binding offers to purchase the Auction Item at the bid amount.

Bids generally cannot be retracted once submitted.

FFAW may allow retraction in cases of clear technical error reported immediately. There is no guarantee that FFAW can manually retract a bid.

Auctions may include:

  • Minimum bid increments
  • Proxy bidding
  • Automatic bidding systems
  • Anti-sniping time extensions

FFAW reserves the right to determine the validity of bids.

If a higher bid is placed, previous bids are automatically superseded and no longer enforceable.

  1. Seller Responsibilities

Sellers are solely responsible for:

  • Accuracy of listing descriptions
  • Legality of items listed
  • Compliance with applicable laws
  • Transferring ownership or title

Sellers represent and warrant that:

  • They own the Auction Item or have authority to sell it
  • The item is not stolen
  • Any liens are disclosed
  • Listing descriptions are accurate
  • Material defects are disclosed

Sellers must respond honestly to bidder questions.

Failure to disclose known defects or providing misleading information may expose the Seller to legal liability.

Sellers understand and agree that FFAW has an open and transparent rating and viewing system that allows registered users to view comments, listings, and ratings from other users on the FFAW platform.

Sellers are solely responsible for listing accuracy.

FFAW does not independently verify Seller’s claims and is NOT RESPONSIBLE for information in listings.

  1. Buyer Responsibilities and No Reliance

Buyers / Bidders are responsible for conducting their own due diligence prior to bidding.

Buyers should verify:

  • Condition
  • Authenticity
  • Title
  • Ownership
  • Documentation

Buyers / Bidders’ responsibilities may include:

  • Requesting documentation
  • Arranging inspections
  • Reviewing maintenance records
  • Verifying ownership and title status

 

Unless otherwise stated, items are sold AS-IS, WHERE-IS.

Bidders / Buyers acknowledge they are not relying on any representation made by FFAW regarding the accuracy, condition, authenticity, title status, or value of any Auction Item.

All listing information is provided solely by the Seller.

Bidders understand and agree that FFAW has an open and transparent rating and viewing system that allows registered users to view comments, listings, and ratings from other users on the FFAW platform.

  1. Fees and Pricing

10.1 Non-Horse Category Sites

Seller Listing Fee:    $249 is paid up front, but fee will be reimbursed by adding the fee to the Winning Bid Total. 

There are NO COMMISSIONS or other fees required by FFAW.

Seller Listing Fees are reimbursed for Successful auction items by the Winning Bidder.

All Buyers and Sellers are free to negotiate any fees or terms among themselves. FFAW will collect the fee from the Seller.

Listing Fees are non-refundable if the item does not sell.

  1. Payment After Auction

FFAW does not process the payment nor collect funds for the Auction Item.

The Winning Bidder must pay the Seller directly.

The Buyer must pay:    Winning Bid amount  +  Seller’s $249 Listing Fee

 

Payment should typically occur within seven (7) business days, unless otherwise agreed by the parties.

Parties may choose to use third-party services such as:

  • Escrow providers
  • Title transfer companies
  • Closing agents

FFAW is not responsible for third-party services.

  1. Bidder Default and Enforcement

If a Winning Bidder fails to complete the transaction, the bidder is considered in default.

A Winning Bidder is in default if they:

  • Fail to pay within the required timeframe
  • Refuse to complete the purchase
  • Otherwise breach the transaction agreement

In such cases FFAW may:

  • Charge a $500 default penalty to the Winning Bidder’s Credit Card
  • Suspend or terminate the Bidder account
  • Offer the item to the next Highest Bidder
  • Allow the Seller to relist the item at no additional charge

By registering to bid, users authorize FFAW to charge the default penalty to their payment card on file.

Users authorize FFAW to charge this penalty to their payment method on file.

  1. Bid Integrity and Anti-Manipulation

FFAW is committed to maintaining fair, transparent auctions and Bidder trust.

FFAW may monitor bidding behavior for signs of:

  • Shill bidding
  • Duplicate accounts
  • Collusion
  • Artificial price inflation
  • Other manipulation

FFAW may analyze technical data including:

  • IP addresses
  • Device identifiers
  • Login activity
  • Bidding patterns

to identify suspicious activity.

FFAW may remove bids or suspend accounts if suspicious activity is detected.

  1. Platform Authority to Cancel Auctions — Actions FFAW May Take

If FFAW believes auction rules may have been violated, FFAW reserves the right to take actions including:

  • Removing suspicious bids
  • Pausing the auction
  • Suspending the auction
  • Restarting the auction
  • Canceling the auction
  • Extending the auction
  • Adjusting the final price
  • Suspending accounts
  • Permanently banning users

This may occur in suspected cases of:

  • Fraud
  • Manipulation
  • Listing errors
  • Technical issues
  • Legal concerns

 

FFAW’s determination regarding bidding integrity and auction results shall be final.

Users waive claims for damages arising from such actions.

  1. Invalid Bid Removal and Price Adjustment

If bids are determined to be invalid due to fraud, shill bidding, or manipulation, FFAW may remove those bids.

FFAW may then:

  • Adjust the auction price to the last valid bid
  • Offer the item to the next valid bidder
  • Restart the auction
  • Cancel the auction

Users acknowledge that auction prices may change if invalid bids are removed and waive claims for damages related to such adjustments.

  1. Platform Malfunctions

FFAW does not guarantee uninterrupted operation of the Platform.

In the event of technical issues including

  • Server failures
  • Connectivity issues
  • Software errors
  • Data corruption
  • Other technical issues

FFAW may, in its sole discretion:

  • Pause auctions
  • Extend auctions
  • Restart auctions
  • Cancel auctions
  • Declare the last valid bid as the winning bid

FFAW shall not be liable for claims of damages resulting from such events.

  1. Intellectual Property

Users may upload photos, descriptions, and other content.

Users grant FFAW a worldwide, royalty-free license to display and promote listing content.

Users may not upload content that infringes copyright, trademark, or other intellectual property rights.

FFAW may remove infringing content and terminate repeat offenders.

  1. Data Scraping and Automated Access

Users may not:

  • Scrape the Platform
  • Use automated bots
  • Harvest user data
  • Copy large portions of listings

Unauthorized scraping or automated data extraction is prohibited and may result in legal action.

  1. Law Enforcement Cooperation

FFAW may disclose user information to law enforcement or regulatory authorities when required by law or when reasonably necessary to investigate fraud or illegal activity.

  1. User Conduct

Users agree not to:

  • engage in fraudulent bidding
  • manipulate auctions
  • use shill bidding
  • misrepresent listings
  • harass other users
  • post illegal items
  • upload infringing content

Violation may result in account suspension or termination.

  1. User Disputes

FFAW is not responsible for disputes between buyers and sellers.

Users agree to resolve disputes directly with each other.

To the fullest extent permitted by law, users release FFAW and its owners, officers, employees, and affiliates from any claims arising out of disputes between users.

  1. Limitation of Liability

To the maximum extent permitted by law, FFAW will not be liable for:

  • Indirect damages
  • Lost profits
  • Lost data
  • Consequential damages

Total liability shall not exceed the greater of:

  • The fees paid to FFAW for the transaction
    or
  • $249.00 USD
  1. Indemnification

Users agree to indemnify and hold harmless FFAW and its affiliates from claims arising from:

  • Listings
  • Bids
  • Transactions
  • Violations of these Terms.
  • Violations of Law.
  1. Termination

FFAW may suspend or terminate accounts at its discretion for:

  • violations of these Terms
  • fraud
  • suspicious activity
  • misuse of the platform
  1. Force Majeure

FFAW shall not be liable for delays or failures caused by events beyond its reasonable control including:

  • Natural disasters
  • Power outages
  • Internet failures
  • Government actions.

 

  1. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”

FFAW DISCLAIMS ALL WARRANTIES INCLUDING:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement

FFAW does not guarantee:

  • Listing accuracy
  • Item condition
  • Transaction completion
  • Platform availability
  1. Class Action Waiver

Users agree that any disputes will be brought only in an individual capacity and not as part of any class action or collective proceeding.

Users waive the right to participate in class actions against FFAW.

  1. Jury Trial Waiver

Users waive the right to a trial by jury in any dispute arising from these Terms or the Platform.

  1. Governing Law

These Terms are governed by the laws of the State of Texas.

Any disputes shall be resolved in the courts located within Texas.

  1. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  1. Entire Agreement

These Terms constitute the entire agreement between users and FFAW regarding use of the Platform and supersede all prior agreements or communications.

  1. Changes to Terms

FFAW may update these Terms at any time.

Continued use of the Platform constitutes acceptance of updated Terms.

Appendix A — Horse Category Addendum

Horse listings have distinct pricing and inspection procedures.

Seller Listing Fee:    $149 is paid up front, but fee will be adjusted up or down (added to the Winning Bid) based on Winning Bid Total.

Horse Tier Fees:

Tier 1 — Under $2,501 — $19
Tier 2 — $2,501 – $5,000 — $29
Tier 3 — $5,001 – $7,500 — $49
Tier 4 — $7,501+ — $149

Horse Listing Fee: $149

Horse transactions may involve:

  • Pre-Purchase Inspection (PPI)
  • Veterinary review
  • Pedigree documentation

FFAW does not perform inspections.

In a Horse Auction, the Winning Bidder and Seller must complete the post-sale process within seven (7) Business Days unless otherwise stated or mutually agreed upon between Seller and Winning Bidder.

The applicable Tier Fee is added to the Buyer’s Winning Bid Total paid by the Winning Bidder for a Seller’s item that successfully sells on the FFAW platform.

Seller Listing Fees are reimbursed for Successful auction items by the Winning Bidder.

All Buyers and Sellers are free to negotiate any fees or terms among themselves. FFAW will collect the fee from the Seller.

Listing Fees are non-refundable if the item does not sell.

Appendix B — Aircraft Disclosure

Aircraft transactions involve complex regulatory requirements.

Sellers should disclose:

  • Inspection status
  • Maintenance records
  • Logbooks

Buyers are responsible for verifying all documentation before bidding.

FFAW does not verify aircraft records.
